Usage Rights: Brand shall have the exclusive, sublicensable unlimited and irrevocable right for itself, its affiliates, and licensees to use, reproduce, prepare derivative works of, distribute, publicly perform, display, exhibit, digitize, create gifs, and otherwise use the Brand Content and Likeness in any and all media, now known or later devised, excluding broadcast, merchandising (i.e., on product), and OOH. Territory of License: Worldwide. Term of License: 3 years from date of first public use, but perpetual for Brand's internal usage and archival purposes (e.g., Brand Content may remain perpetually where originally published, and Brand has no obligation to remove upon expiration of the usage period so long as no new publications occur after expiration). OOH Option: Brand shall have the option, exercisable in its sole discretion, to include OOH channels for a 6-month usage period (during the 3-year usage term) for an additional fee of [additional day rate].
